American Association of University Professors

  1. Purpose: The York College Chapter of the American Association of University Professors shall have as its purpose support of the purposes of the Association as stated in Article I of the Association’s Constitution: “… to facilitate a more effective cooperation among teachers and
    research scholars in universities and colleges, and in professional schools of similar grade, for the promotion of the interests of higher
    education and research, and in general to increase the usefulness and advance the standards, ideals, and welfare of the profession.”
  2. Membership: All Active, Graduate Student, and Emeritus members of the American Association of University Professors who are employed by York College of Pennsylvania are eligible for membership in the York College Chapter. All members of the chapter are eligible to vote, but only Active members are eligible to hold office. Associate and Public members of the American Association of University Professors may attend Chapter meetings at the invitation of the president of the Chapter.
  3. Officers: The officers of the Chapter shall be a president, a vice-president, a secretary, and a treasurer. Officers shall be elected annually, in May.
  4. Executive Committee: The executive committee shall consist of the present officers of the Chapter and the immediate past president.
  5. Amending the Constitution: This constitution may be amended at any meetings of the Chapter by a majority vote of the membership of the Chapter, provided that the proposed amendment has been submitted in writing at the previous meeting of the Chapter, and provided further that the intended amendment action has been specifically announced in a call for the meeting at which action is to take place.

Regular meetings of the Chapter shall be held monthly during the academic year. The meetings shall be announced by the Secretary through
appropriate channels, said announcement to specify time and place.

The President is empowered to call special meetings to deal with specific topics demanding action by the membership prior to the time of the next regular meeting. The President will call a special meeting upon petition in writing of ten percent (10%) of the membership, said meeting to be held within seven days of the receipt of said petition.


A quorum will be required prior to the conduct of business requiring a vote of the general membership at a regular or special meeting. Said
quorum shall consist of one third of the total active membership.


The rules set forth in Robert’s Rules of Order (Revised) may be set aside by a two-thirds majority vote of those members present and voting,
assuming a quorum to be present.


Election of officers shall be held annually at the regular May meeting of the Chapter. A nominating committee, appointed by the President in April, will present a slate of nominations for chapter officers in the following year. Nominations may also be made from the floor. Elections shall be by written ballot and the Secretary shall have such ballots prepared prior to the election meeting for distribution and use at that meeting. A simple plurality is sufficient to elect. Ballots will be counted by the Secretary and a member appointed by the President for that purpose. In case of a tie vote, voting shall be repeated until the tie is broken.


Dues shall be assessed at the rate of ten dollars ($10.00) per academic year. Emeritus members shall not be required to pay dues. A member who has failed, after suitable notice, to pay the established dues will be excluded from Chapter meetings.


Amendments to these By-Laws may be made by a two-thirds majority vote of those members present and voting at a meeting of the Chapter,
assuming that a quorum shall be required. Proposed amendments shall be circulated to the membership through the Secretary at least ten days prior to voting on said amendments.


These By-Laws shall become effective immediately following their adoption, said adoption to require a simple majority of the members present.
These By-Laws shall be circulated to all members of the existing Chapter at least ten days prior to their presentation for vote.
